# End-User Agreement for Intuit QuickBooks Integration

## 1. Agreement to Terms

By using the WordPress Invoice Manager theme and its QuickBooks integration features (“the Software”), you agree to be bound by this End-User Agreement (“Agreement”). This Agreement is a legal contract between you (“User,” “you,” or “your”) and Mike Hanlon/WizSeller (“we,” “us,” or “our”) regarding your use of the Software and its integration with Intuit QuickBooks services.

If you do not agree to these terms, you must not use the Software or connect it to QuickBooks services.

## 2. Third-Party Service Agreement

### 2.1 Intuit QuickBooks Services

This Software integrates with Intuit QuickBooks services via the QuickBooks API. By connecting your QuickBooks account to this Software, you also agree to be bound by:

### 2.2 Your Responsibilities

You are solely responsible for:

– Maintaining the confidentiality of your QuickBooks account credentials
– All activities that occur under your QuickBooks account connection
– Ensuring you have proper authorization to connect your QuickBooks account
– Compliance with all applicable laws and regulations regarding financial data

## 3. Grant of License

### 3.1 License Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for your internal business purposes.

### 3.2 License Restrictions

You may NOT:

– Sell, rent, lease, sublicense, or distribute the Software
– Modify, reverse engineer, decompile, or disassemble the Software
– Remove or alter any proprietary notices or labels on the Software
– Use the Software for any illegal or unauthorized purpose
– Attempt to access QuickBooks data you are not authorized to access
– Use the Software to violate any laws, regulations, or third-party rights

## 4. Data Usage and Privacy

### 4.1 Data Access

The Software requires access to your QuickBooks data to provide invoice management and synchronization features. The specific data accessed includes:

– Customer/client information
– Invoice data and transaction records
– Account information
– Payment records
– Other financial data necessary for invoice management

### 4.2 Data Storage

The Software stores synchronized QuickBooks data in your WordPress database. You are responsible for:

– Securing your WordPress installation
– Regular database backups
– Compliance with data protection regulations applicable to your jurisdiction
– Properly managing user access permissions

### 4.3 Data Transmission

Data transmission between the Software and QuickBooks occurs via secure HTTPS connections using OAuth 2.0 authentication. We do not intercept, store, or access your QuickBooks credentials.

### 4.4 Third-Party Access

We do NOT:

– Share your QuickBooks data with third parties
– Use your data for any purpose other than providing the Software’s functionality
– Have access to your QuickBooks account or data stored in your WordPress database

## 5. QuickBooks Integration Specific Terms

### 5.1 OAuth Authentication

The Software uses OAuth 2.0 for secure authentication with QuickBooks. You must:

– Authorize the Software to access your QuickBooks account
– Keep your authorization tokens secure
– Revoke access immediately if you suspect unauthorized use

### 5.2 API Usage Limits

QuickBooks imposes API rate limits. The Software includes:

– Automatic rate limiting to comply with QuickBooks API terms
– Caching mechanisms to minimize API calls
– Configurable sync frequencies

Excessive API usage may result in temporary access restrictions imposed by Intuit.

### 5.3 Multi-Account Support

The Software supports multiple QuickBooks accounts (International and Canadian). Each connected account:

– Requires separate authorization
– Maintains independent data synchronization
– Must comply with Intuit’s multi-account policies

### 5.4 Data Synchronization

– Synchronization occurs at intervals you configure (minimum 5 minutes)
– Data may not be real-time depending on sync settings
– You are responsible for verifying data accuracy after synchronization
– The Software does not guarantee 100% data accuracy or completeness

## 6. Disclaimer of Warranties

### 6.1 “AS IS” Basis

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

– Warranties of merchantability
– Fitness for a particular purpose
– Non-infringement
– Accuracy or completeness of data

### 6.2 No Guarantee of Service

We do not guarantee that:

– The Software will be error-free or uninterrupted
– All bugs or errors will be corrected
– The Software will meet your specific requirements
– QuickBooks API integration will remain available or unchanged
– Data synchronization will be completely accurate

### 6.3 Third-Party Services

We are not responsible for:

– Changes to QuickBooks API that affect the Software
– QuickBooks service outages or performance issues
– Intuit’s modification or termination of services
– Data loss due to QuickBooks or WordPress issues

## 7. Limitation of Liability

### 7.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

– Any indirect, incidental, special, consequential, or punitive damages
– Loss of profits, revenue, data, or business opportunities
– Damages resulting from QuickBooks API changes or outages
– Data corruption or loss
– Unauthorized access to your data
– Any damages exceeding the amount you paid for the Software (if any)

### 7.2 Assumption of Risk

You acknowledge and agree that you use the Software at your own risk and that you are solely responsible for:

– Backing up your data
– Verifying data accuracy
– Maintaining security of your WordPress installation
– Compliance with applicable laws and regulations

## 8. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from:

– Your use or misuse of the Software
– Your violation of this Agreement
– Your violation of any third-party rights
– Your violation of applicable laws or regulations
– Unauthorized access to your QuickBooks account
– Data breaches resulting from inadequate security measures

## 9. Compliance with Laws

### 9.1 General Compliance

You must use the Software in compliance with all applicable laws, including but not limited to:

– Data protection and privacy laws (GDPR, CCPA, PIPEDA, etc.)
– Financial reporting and accounting regulations
– Tax laws and requirements
– Industry-specific regulations

### 9.2 Financial Data

You acknowledge that:

– The Software handles sensitive financial data
– You are responsible for compliance with financial data protection laws
– You must implement appropriate security measures
– You should consult legal and accounting professionals regarding compliance

## 10. Term and Termination

### 10.1 Term

This Agreement begins when you first use the Software and continues until terminated.

### 10.2 Termination by You

You may terminate this Agreement at any time by:

– Disconnecting your QuickBooks account(s)
– Ceasing use of the Software
– Uninstalling the Software

### 10.3 Termination by Us

We may terminate or suspend your access immediately if:

– You violate this Agreement
– You violate Intuit’s terms of service
– Required by law or legal process
– The Software is discontinued

### 10.4 Effect of Termination

Upon termination:

– Your license to use the Software ends immediately
– You must disconnect all QuickBooks accounts
– Cached data remains in your WordPress database (you should delete it manually)
– This Agreement’s provisions regarding disclaimers, limitations of liability, and indemnification survive termination

## 11. Updates and Modifications

### 11.1 Software Updates

We may release updates, patches, or new versions of the Software. You are responsible for:

– Keeping the Software updated
– Testing updates in a staging environment
– Backing up data before updating

### 11.2 Agreement Changes

We reserve the right to modify this Agreement at any time. Changes will be effective:

– Immediately upon posting the updated Agreement
– When you continue using the Software after changes are posted

Your continued use of the Software constitutes acceptance of any changes.

## 12. Support and Maintenance

### 12.1 No Guarantee of Support

We are not obligated to provide:

– Technical support
– Bug fixes or updates
– Feature enhancements
– Training or documentation updates

### 12.2 Best Effort Support

While we strive to provide assistance, support is provided on a “best effort” basis without any guarantees.

## 13. Intellectual Property

### 13.1 Ownership

All intellectual property rights in the Software remain our exclusive property, including:

– Source code and documentation
– Design elements and user interface
– Trademarks and branding
– Proprietary algorithms and methods

### 13.2 QuickBooks Trademarks

“QuickBooks” and related trademarks are the property of Intuit Inc. We are not affiliated with, endorsed by, or sponsored by Intuit Inc.

## 14. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.

## 15. Dispute Resolution

### 15.1 Governing Law

This Agreement is governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

### 15.2 Arbitration

Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with [Applicable Arbitration Rules], except where prohibited by law.

### 15.3 Class Action Waiver

## 16. Miscellaneous

### 16.2 Severability

If any provision of this Agreement is found unenforceable, the remaining provisions remain in full effect.

### 16.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

### 16.4 Assignment

You may not assign this Agreement without our written consent. We may assign this Agreement at any time.

### 16.5 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control.

## 18. Acknowledgment

– You have read and understood this Agreement
– You agree to be bound by its terms
– You have the authority to enter into this Agreement
– You will comply with all applicable laws and third-party terms
– You understand the risks and limitations of the Software
